General Terms for Website Users

1. Definitions

1.1 “iplug” means iplug Limited

1.2 “iplug website” means iplug.co.nz

1.3 "User" means anyone registered with iplug, who is entitled to make comments, give feedback, list businesses or collect and Gift Plug Points.

1.4 “Plugger” means anyone registered with iplug as a User and who makes comments, gives feedback or makes recommendations on businesses listed on the iplug website. People who give Slaps are also Pluggers.

1.5 "Register" or "Registered" means anyone who has followed the iplug Registration process to become a User or Plugger, and who has accepted these Terms and Conditions.

1.6 "Logged In" is when a User or Plugger has entered their User Name and Password and is Logged In to the website.

1.7 “Plug” is a positive comment or feedback on a business.

1.8 “Slap” is a negative or critical comment or feedback on a business.

1.9 “Orphan Plug/Slap” is feedback given when the business is not listed with iplug.

1.10 “Lister” is a business listed on the iplug website. The term may refer to the company, the owner or a representative of the company.

1.11 "Searcher" means anyone searching for businesses or reading Plugs on the website. Searchers may not necessarily be Users or Registered with iplug or Pluggers.

1.12 "Plug Point" is a virtual reward earned by Pluggers and collated through the website.

1.13 "Plug Points Recipient" is a body displayed on the website for the purposes of receiving Plug Points from Pluggers, usually a school or a charity.

1.14 "Gift" and "Gifting" means transferring Plug Points from a Plugger account to another Plugger account or Plug Points Recipient.

1.15 "We" means iplug Limited, the iplug.co.nz website or an employee of iplug Limited.

1.16 “You” means any user of the website including any Lister, Plugger or Searcher.

2. Acceptance of Terms and Conditions

2.1 These terms and conditions are the terms on which iplug offers you access to the iplug website. By using the website or registering as a User/Plugger or Listing a business, or Registering a School or Charity, you accept these terms and conditions. If you do not accept these terms and conditions, you must refrain from using the iplug website.

2.2 These terms and conditions may be amended in whole or in part by iplug from time to time. Amendments will be effective immediately upon posting of the amended terms and conditions on the iplug website. You are responsible for ensuring you are familiar with the latest terms and conditions. Your continued use of the iplug website represents your agreement to be bound by the terms and conditions as amended.

3. Specific Warnings

3.1 iplug provides a forum to review and give feedback to businesses in New Zealand. iplug does not sell any products or provide any services for profit other than provision of this website to generate feedback.

3.2 iplug does not participate in any sale or transaction between you and any Lister. iplug does receive a fee from the Lister for listing their goods and/or services. iplug also acts as a moderator of comments made to ensure that they comply with these terms and conditions.

3.3 Any transactions and all other contact between Listers and you are conducted entirely at your own risk. By using the website you agree that iplug takes no responsibility or liability for any misconduct of any Listers or Pluggers including, without limitation, Listers that have registered under false pretences or who attempt to defraud you. iplug gives no undertakings, representations, or warranties in relation to plugs or slaps given, items sold, services provided or listed on the website, including:

3.3.1 the accuracy, truth or reliability of any plug or slap;

3.3.2 the accuracy, truth or reliability of any comments or responses to plugs or slaps

3.3.3 as to the content, safety, description, worthiness, quality, or legality of the products or services listed on the website;

3.4 You expressly understand and agree that:

3.4.1 your use of the services is at your sole risk. To the maximum extent permitted by law iplug disclaims and excludes all implied conditions or warranties, including, but not limited to, any warranties of merchantability, fitness for a particular purpose, and non-infringement;

3.4.2 iplug does not warrant that any information (including listings, comments, responses, plugs or slaps) provided on the website are error-free or reliable;

3.4.3 no advice or information that is obtained by you from iplug or anyone else shall create any warranty by iplug that is not expressly stated in these terms and conditions; and

3.4.4 responsibility for the content of advertisements appearing on the website (including hyperlinks to Listers’ own websites) rests solely with the Listers. The placement of such advertisements on the Website does not constitute iplug's recommendation or endorsement of the advertised product or service. Each Lister is solely responsible for any representation made in connection with its advertisement.

3.4.5 the views expressed in plugs or slaps are not the views of iplug. iplug reserves the right to remove or amend any message but is under no obligation to exercise editorial control. Any defamatory, threatening, obscene, harassing, offensive or illegal material posted is the responsibility of the Plugger or Lister and they will indemnify iplug for any content that causes any loss to iplug.

3.5 You agree that, to the maximum extent permitted by law, any and all liability and responsibility of iplug to you or any other person under or in connection with these terms and conditions, or in connection with any listings, the website, any Lister’s, Plugger’s or Users acts or omissions, or your use of or inability to use, the website, is excluded regardless of whether such liability arises in contract, tort (including negligence), equity, breach of statutory duty or otherwise. iplug’s liability and responsibility is excluded in respect of any and all loss or damage, whether direct or indirect, including, without limitation, loss of profits, loss of data, loss of reputation, loss of business or anticipated savings, general and special damages, and consequential and incidental loss.

3.6 You agree to release, indemnify and keep indemnified iplug from and against all actions, claims, costs (including legal costs and expenses), losses, proceedings, damages, liabilities, or demands suffered or incurred by iplug to any person arising out of or in connection with your failure to comply with these terms and conditions, your listing on the website, your reliance on the listings, your use of the Listers’ products or services, your plugs or slaps, or your comments or responses to comments.

3.7 Without limiting any other rights and remedies available to iplug, iplug may limit your activities on the website, remove your listing, remove your plugs or slaps, remove your comments or responses to comments, issue a warning to you, suspend or terminate your status as an Plugger, remove any or all Plug Points allocated to you or refuse to provide the websites’ services to you if you breach these terms and conditions or where iplug considers it appropriate.

4. Copyright

4.1 The website is the copyrighted property of iplug, and is subject to New Zealand laws and statutes.

4.2 No material obtained from the website or part of the website itself can be published, distributed, copied, reproduced, resold, repackaged, transmitted or stored without the permission of iplug. Nor can you incorporate any material or any part of this site in any other work or publication, in hard copy or electronic form without iplug’s written consent.

4.3 The logos, images, terminology and structure of the website are also subject to copyright and may not be reproduced.

4.4 The logos, images, words and material displayed on the Lister’s pages may also be subject to copyright, trademarks and other restrictions. Any Lister who uses any trademark, copyright or other intellectual property certifies and undertakes that they are the legal owner of that work and are entitled to use it. All Listers indemnify iplug against any and all losses arising from a breach of this clause.

5. Users of The Website

5.1 The website displays contact, business and marketing information for businesses other than iplug. This information is supplied by the listing business or entity as it is displayed on the Lister’s page. This information is written by the listing business or entity and iplug has no input as to the content, views or commentary.

5.2 iplug cannot be held liable for the information, advice or material displayed on a Lister’s pages.

5.3 iplug does not warrant or guarantee any of the information offered, or products or services provided by the Listers displayed on the website.

5.4 iplug is not the agent or representative or champion of any business or entity listed on the website, and all queries, issues and contact should be directed to the listing business or entity itself.

5.5 iplug cannot be held responsible for any purchases, contracts, transactions or relationships entered into as a result of information displayed on the website. Any contact between website advertisers and website visitors is the sole responsibility of the parties involved, and iplug cannot be held responsible for any issues that may arise from such contact. Use your own judgment.

5.6 These terms and conditions are governed by and will be construed in accordance with the laws of New Zealand and all users submit to the jurisdiction of the courts of New Zealand.

6. Access

6.1 iplug does not guarantee that access to the website or any other service provided via the website will be continuous or without interruption. iplug reserves the right to modify the website, or withhold, suspend or restrict any service provided via the website, at any time without notice.

7. Privacy Policy

iplug has adopted this Privacy Policy to ensure that we handle personal information in accordance with the Privacy Act 1993.

7.1 Personal Information

iplug collects, holds and uses personal information in the following areas: Listers and Pluggers. iplug does not sell or rent your personal information to third parties. iplug is dedicated to keeping personal information secure. This includes physical security, computer and network security, communications security and personnel security.

7.2 Purposes for collecting the information

Wherever possible, iplug collects information directly from Listers and Pluggers. We use the information for the following purposes:

7.2.1 to contact you directly about iplug, special offers and promotions

7.2.2 to invoice, receive payment and to recover debts owing from Listers

7.2.3 to communicate with Listers, Pluggers, Plug Points Recipients and users of the website to ensure compliance with the terms and conditions

7.2.4 to communicate with Plug Points earners and iplug shop users regarding interactions with the shop and status of iplug Plug Points

7.3 How we manage personal information

We implement a variety of security measures to maintain the safety of your personal information. We offer the use of a secure server. All supplied sensitive/credit information is transmitted via Secure Socket Layer (SSL) technology and then encrypted into our Payment gateway providers database only to be accessible by those authorised with special access rights to such systems, and are required to keep the information confidential. All personal information collected by iplug is stored in a secured SQL server database. All login and password information is encrypted. Credit card information is encrypted to our Payment Gateway provider’s standards. You may also request an update or correction of the personal information we hold about you by putting the request in writing to iplug. Contact details are outlined below.

7.4 Disclosure

iplug releases account and other personal information only when we believe release is appropriate for legal compliance and law enforcement (including to government agencies with statutory law enforcement responsibilities); to facilitate court proceedings; enforce or apply our terms and conditions; or protect the rights, property, or safety of iplug, Listers, Pluggers, Plug Points Recipients, website users, or others. Government agencies with statutory roles enabling them to request data from us include but are not limited to the Police, IRD and the Ministry Of Economic Development. Members can contact iplug to ask whether such information has been provided.

7.6 Changes to the Privacy Policy

7.7 Cookies

iplug uses cookies. Cookies are small files that a site or its service provider transfers to your computers hard drive through your Web browser (if you allow) that enables the sites or service providers systems to recognize your browser and capture and remember certain information iplug uses cookies to enable the ‘keep me logged in’ feature. Turning off acceptance of cookies in your browser will not affect the site operation, but will require you to log in every time you visit the site.

7.8 Third party links

Occasionally, at our discretion, we may include or offer third party products or services on our website. These third party sites have separate and independent privacy policies. We therefore have no responsibility or liability for the content and activities of these linked sites. Nonetheless, we seek to protect the integrity of our site and welcome any feedback about these sites.

8. Terms and Conditions for Users (Pluggers)

All the Terms and Conditions generally amount to the same thing; that you are honest and tell the truth. This goes for Users who Plug (Pluggers), Business Listers and Plug Points Recipients. So long as you are fair and truthful, there should never be a problem. For the purposes of these conditions, a User will be termed a Plugger.

8.1 All comments and statements must be truthful to the best of the Plugger's knowledge.

8.2 The Plugger must be the person with direct contact to the Lister, and not be reporting on behalf of a third party or repeating hearsay. (A certain latitude is given when Pluggers are reporting on behalf of small children, or elderly or incapable adults.) Just don't say "I heard that this place..." or "A friend of mine..."

8.3 Pluggers will endeavour to issue more Plugs than Slaps. This is not mandatory, but is a serious recommendation. A Plugger who only ever issues criticisms or negative comments about the businesses they deal with can (and will) be seen as nothing more than a whinger - someone who whinges. But if a Plugger issues praise whenever it is due, the weight of a Plugger's Slap will increase. iplug reserves the right to terminate the status of any Plugger whose sole aim appears to be malicious Slapping of Listers.

8.4 No Plugger shall Slap a business in direct competition to their own business – unless they are a genuine customer of that business. Should the Lister dispute a Slap from a person in direct competition, the Plugger may be asked to furnish proof that the Slap is genuine.

8.5 Slaps are not to be personal in nature and must relate to the business they are commenting on. (eg; for an electrician, ‘This guy cheats at golf!’ or 'this woman's having an affair with my friend's husband' are unacceptable comments. But ‘one of this company’s vans was driving erratically on SH 1 on 15 May and overtook me on a blind corner!’ is acceptable.

8.6 Use of profanity or crudity is forbidden. Use language that you would happily read aloud at a primary school

8.7 Comments must not be racist, sexist, ageist or in any way breach the Human Rights Act 1993 or any current legislation in force in New Zealand.

8.8 Comments must not contain any personal information in breach of the Privacy Act 1993.

8.9 Plugs or Slaps are not to contravene any order from a New Zealand court or a legally binding instruction. If a court case over the matter is ensuing, or a name suppression order is in place, you must not use iplug to promote your cause or breach any court order.

8.10 All comments must relate to the Lister, and not promote another cause or company. (eg; for Jonno’s Bearings; ‘Jim’s Plumbing uses Jonno’s Bearings all the time. Jim’s Plumbing, your 24 hour service! Ph 027 555 5555’ would be considered a breach of these Terms and Conditions)

8.11 Statements that are deemed by iplug to be of a potentially defamatory nature will not be displayed on the site. Pluggers who make defamatory statements may also be liable for any actions that result.

8.12 No Plugger shall Plug businesses frivolously with the intention of earning Plug Points. (An example would be a Plugger who makes a 3 minute enquiry in every store in a mall, and then Plugs all 50 Stores for 'great service')

8.13 Pluggers who deliberately flaunt the rules for the sole purpose of earning Plug Points risk having their Plugger status cancelled, all their Plugs removed and their Plug Points cancelled.

8.14 No Plugger shall have more than one registration. This is a breach of these Terms and Conditions (and may be an offense under Section 40 of the 1961 Crimes Act).

8.15 Because the primary means of communication between iplug and Pluggers is email, unsubscribing from all email contact, or making complaints to the relevant organisations regarding emails from iplug may constitute a breach of these Terms and Conditions and result in termination of a Plugger's registration.

8.16 All Pluggers must be over the age of 18 and/or be legally allowed to enter contracts under New Zealand law (subject to the exception in 8.17)

9. Terms and Conditions for Business Listers

All the Terms and Conditions on iplug generally amount to the same thing; that you are honest and tell the truth. So long as you are fair and truthful, there should never be a problem.

9.1 Listers will respect the rights of other Listers at all times.

9.2 No Listing shall display on the website until the Listing Fee is received by iplug.

9.3 Services, products and benefits listed on a Lister’s page shall be offered in good faith, and not as a drawcard for unwitting customers/clients.

9.4 iplug is not to be used to advertise illegal, unethical or fraudulent products or services. The definition of what constitutes these shall rest solely with iplug.

9.5 iplug reserves the right to deny any request for listing services at its own discretion.

9.6 Should an error on a Lister’s page be pointed out to the Lister, whether by a customer, Plugger or the iplug management team, the Lister will endeavour to correct the error as soon as is practicable. Failure to do so may result in the Lister being removed from iplug until the error is corrected.

9.7 Listers will use iplug to promote their own services and/or products and undertake not to act as a third-party agent for other businesses. The exception to this rule is when the Lister offers a service subsequent to third party businesses.

9.8 In the event that the Lister is a broker of third party services or goods, this must clearly be stated on the Lister’s page.

9.9 The Lister warrants that the individual or business promoted in the Listing is legal and all qualifications and/or memberships displayed are current and complete. For example, if Master Builder is displayed, the Lister is a fully accredited Master Builder.

9.10 The Lister warrants that the Listing complies with the Consumer Guarantees Act 1993, the Fair Trading Act 1986 and any other relevant New Zealand legislation.

9.11 The Lister warrants that any Plugs solicited from would-be Pluggers are genuine and the Plugger is a customer of the Lister’s business.

9.12 The Lister may display a current and relevant Plug Rating on their own website and in any promotional material produced by the business. Should the Plug Rating change significantly, notwithstanding such elements as print runs and timed-release media, the Lister will update their Plug Rating on their own material as soon as possible.

9.13 Listers who falsely advertise a Plug Rating for which they are not eligible may lose their Plug Rating, or in the worst cases be removed from the website.

9.14 Listers may download iplug logos and other material from the website for use in their own print and online media. The use of the iplug logo will not imply endorsement or approval of the business by iplug Ltd.

9.15 Listers may not use profanity or foul language in their Listings and must comply with all applicable advertising standards in New Zealand.

9.16 When a Lister makes a response to a Slap, the Lister is deemed to be a Plugger and must abide by the Terms and Conditions accepted by Pluggers.

9.17 In the interests of maintaining iplug as a contemporary business listing directory in which the best businesses are displayed at the top of the searches, any attempt to circumvent the natural law of Plugging and Plug Ratings will result in the Lister losing their Plug Rating.

9.18 Listers that receive 2 or more Slaps for failure to offer the services they advertise on their page may be asked to edit their page or be removed from the website if the breach persists.

9.19 Listers who receive Slaps that indicate they are no longer trading will be contacted by iplug Ltd, and if it becomes apparent that they have ceased to trade, their Listing will be removed from the website.

9.20 There are no refunds of Listing Fees

9.21 Should a Plugger List more than one business with iplug, the Plugger/ Lister shall not deliberately mislead or confuse the public by applying comments made to one business to another.

9.22 Because the primary means of communication between iplug and Business Listers is email, unsubscribing from all email contact, or making complaints to the relevant organisations regarding emails from iplug may constitute a breach of these Terms and Conditions and result in the removal of a Listed business from the website.

10. Terms and Conditions for Plug Points and Plug Points Recipients

10.1 Only Pluggers/Registered Users can collect Plug Points.

10.2 All Pluggers will receive Plug Points for the Plugs they make regardless of prior acceptance or engagement.

10.3 The act of a Plugger redeeming Plug Points for a reward or Gifting Plug Points to another Plugger constitutes acceptance of these Terms and Conditions for Plug Points.

10.4 iplug does not guarantee the accuracy of the tally and collation of a Plugger's Plug Points. While we will endeavour to ensure that all Plugs, Plug Points allocations and Gifted Plug Points are accurate, iplug will not be held liable for inaccuracies, implied or real.

10.5 The information given to iplug by Pluggers at the time of registration must be correct and accurate. Any attempt to collect Plug Points through falsifying Registration details, creating multiple registrations or otherwise breaching these Terms and Conditions will result in immediate cancellation of all iplug privileges.

10.6 Initiating more than one Plugger registration or registering on behalf of someone else constitutes an offense under Section 240 of the 1961 Crimes Act. The relevant section can be seen here.

10.7 Any other action undertaken by Pluggers with the intention of collecting Plug Points that contravenes these Terms and Conditions may also constitute an offense under the 1961 Crimes Act.

10.8 The provision of Plug Points, Rewards and iplug shop items is not an automatic right but is a privilege and iplug reserves the right to withdraw this privilege without notice.

10.9 Pluggers and Plug Points Recipients who solicit Plug Points from other Pluggers warrant that all statements, claims and responsibilities used in the act of solicitation are accurate to the best of their knowledge. (For example, unless you really are dying from an incurable disease, do not claim such to be the case.)

10.10 iplug is not responsible for the value or implied value of Plug Points as represented to the public or third parties. Such implied value is subject to change without notice.

10.11 Unless specifically stated to the contrary on the website, any goods or services offered in return for the redemption of Plug Points carry no guarantee or warranty from iplug. Relevant manufacturer's warranties and guarantees may apply, but iplug cannot be held responsible in any way for the failure or non-performance of goods supplied by a third party.

10.12 Goods and/or services offered in return for Plug Points through the website are for use at your sole risk. To the maximum extent permitted by law iplug disclaims and excludes all implied conditions or warranties, including, but not limited to, any warranties of merchantability, fitness for a particular purpose, and non-infringement.

10.13 The Gifting of Plug Points is final. iplug is not responsible for Plug Points Gifted in error or for the reversal of such transactions.

10.14 iplug monitors all aspects of the collection, redemption and Gifting of Plug Points. If iplug Limited has any reason to believe that Plug Points are being collected through fraudulent means, the parties involved face removal from the iplug website and may be committing offenses under Section 240 of the 1961 Crimes Act. Such monitoring includes but is not limited to;

10.14.1 Eligibility to be a Plugger

10.14.2 Plugs made to Listed businesses and Orphans

10.14.3 Solicitation of Plug Points

10.14.4 Gifting of Plug Points from multiple Pluggers

10.14.5 The sudden and excessive collection of Plug Points for the purposes of redemption

10.15 All cash or rewards Gifted by a Plugger to a school or charity are done so in the name of iplug Limited. Tax deductibility or Inland Revenue claims are not attributable to the Plugger and remain the property of iplug Limited.

10.16 Any or all tax liabilities with Inland Revenue are the responsibility of the Plugs Point Recipient or Plugger redeeming cash or rewards from iplug. iplug cannot be held responsible for failure to report liable gains or income.

10.17 iplug may at any time at its own discretion suspend or terminate the Plug Points system without notice. iplug may also cancel, change or substitute rewards offered by the website, or suspend or cancel all Plug Points currently held by Pluggers. No claim against iplug for un-redeemed Plug Points will be entertained.
